Terms and Conditions

These terms and conditions apply to all services offered by KVKBase via kvkbase.nl. By using our services, you agree to these terms. Please read them carefully before creating an account or using our API.
Article 1 -- Definitions
- Service: the API, widget, and associated functionalities that KVKBase offers via kvkbase.nl for looking up Dutch company data.
- User: any natural or legal person who creates an account with KVKBase and/or uses the Service.
- API Key: the unique key provided to the User for authentication when using the API.
- Widget: the configurable search component offered by KVKBase that Users can integrate into their own website or application.
- Account: the User's personal environment on kvkbase.nl, accessible after registration.
- Subscription: the chosen plan that entitles the User to a specific number of API calls and features per period.
Article 2 -- Account registration
- To use the Service, the User must create an account with a valid email address.
- The User guarantees that the information provided during registration is accurate and complete. Changes must be made promptly.
- The User must be at least 18 years old or act on behalf of a legal entity.
- The User is responsible for keeping login credentials and API Key confidential. All use of the Service via the User's Account is at the User's own risk and expense.
- If unauthorized use of the Account is suspected, the User must immediately inform KVKBase via info@kvkbase.nl.
Article 3 -- Use of the Service
- The User shall use the Service in accordance with these terms, applicable laws, and generally accepted standards of conduct.
- The User is not permitted to:
- use the Service in a manner that impairs its functionality or availability for other users;
- apply reverse engineering, decompilation, or disassembly to the Service or its underlying software;
- resell data obtained through the Service to third parties without prior written consent from KVKBase;
- use automated systems that place a disproportionate load on the Service.
- KVKBase reserves the right to immediately block or terminate the Account without prior warning in the event of a violation of this article.
Article 4 -- API usage
- The User is entitled to the number of API calls included in the chosen Subscription. Specific limits per plan are listed on the pricing page and in the dashboard.
- KVKBase applies rate limits to ensure the stability of the Service. Exceeding rate limits may result in requests being temporarily rejected.
- Structural exceeding of the Subscription quota may result in a request to upgrade to a higher plan or, if refused, blocking of the API Key.
- KVKBase reserves the right to monitor usage and impose restrictions if misuse is suspected.
Article 5 -- Widget usage
- The Widget may only be used in combination with a valid API Key and an active Subscription.
- The User is not permitted to modify, decompile, or otherwise manipulate the source code of the Widget.
- KVKBase is not liable for malfunctions or incorrect display of the Widget resulting from changes in the User's environment.
Article 6 -- Payment and billing
- The costs for using the Service depend on the chosen Subscription. Prices are listed on the pricing page of kvkbase.nl and are exclusive of VAT unless otherwise stated.
- Billing is monthly or annually, depending on the User's choice, via Moneybird.
- The payment term is 14 days after the invoice date.
- In the event of late payment, KVKBase reserves the right to suspend access to the Service until full payment is received.
- KVKBase is entitled to change prices. Price changes will be announced at least 30 days in advance. In the event of a price increase, the User has the right to cancel the Subscription at the end of the current period.
Article 7 -- SEPA Direct Debit
- By agreeing to these terms and activating a paid Subscription, the User grants KVKBase a continuous SEPA direct debit mandate for the automatic collection of amounts due.
- Direct debits are executed in accordance with the SEPA Direct Debit Core scheme.
- The User has the right to reverse a direct debit within 8 weeks of the debit date through their bank, without giving a reason.
- The SEPA direct debit mandate remains valid until it is revoked in writing or until the Subscription is terminated.
- In the event of a reversal or failed direct debit, KVKBase reserves the right to suspend access to the Service and charge additional costs.
Article 8 -- Availability
- KVKBase strives for the highest possible availability of the Service but cannot guarantee 100% uptime.
- The availability of the Service depends in part on the availability of external sources, including the systems of the Chamber of Commerce (KVK) and the VIES system of the European Commission.
- KVKBase is not liable for outages, interruptions, or delays caused by circumstances beyond its control, including but not limited to outages at external data providers, hosting parties, or force majeure.
- Scheduled maintenance will, where possible, be announced in advance via the dashboard or by email.
Article 9 -- Intellectual property
- All intellectual property rights to the Service, including the software, design, documentation, and the KVKBase brand name, are held by KVKBase.
- Use of the Service does not grant the User any ownership rights to the software or other materials of KVKBase.
- The company data from the Trade Register made available through the Service constitutes public government data. KVKBase does not claim ownership of this data.
Article 10 -- Liability
- KVKBase's liability is limited to the amount the User actually paid to KVKBase in the three months preceding the event giving rise to the damage.
- KVKBase is not liable for indirect damages, including but not limited to consequential damages, lost profits, missed savings, loss of data, or damages due to business interruption.
- KVKBase is not liable for the accuracy, completeness, or timeliness of the data provided through the Service. The User is responsible for how the data is used.
- The limitations in this article do not apply if the damage is the result of intent or willful recklessness on the part of KVKBase.
Article 11 -- Cancellation
- The User may cancel the Subscription at any time via the dashboard on kvkbase.nl.
- Upon cancellation of a monthly subscription, access ends at the end of the current monthly period.
- Upon cancellation of an annual subscription, a pro rata refund is provided for the remaining full months of the subscription.
- After cancellation, the Account remains accessible in a limited mode (without paid features) until the User requests full deletion.
- KVKBase is entitled to terminate the User's Account in the event of a breach of these terms, with a reasonable notice period, unless the severity of the breach justifies immediate termination.
Article 12 -- Changes to these terms
- KVKBase reserves the right to amend or supplement these terms and conditions.
- Changes will be announced at least 30 days before taking effect by email and/or via the dashboard.
- If the User does not agree with the amended terms, the User has the right to cancel the Subscription before the effective date of the changes.
- Continued use of the Service after the amended terms take effect constitutes acceptance thereof.
Article 13 -- Governing law and disputes
- These terms and all agreements arising from them are governed exclusively by Dutch law.
- Disputes arising from or related to these terms shall be submitted to the competent court in the district of Amsterdam.
- Parties shall first attempt to resolve a dispute amicably before resorting to legal proceedings.
